“A man always has two reasons for what he does–a good one, and the real one.”
― J.P. Morgan
Our corporate practice serves the needs of small cap and micro cap companies. These small businesses face the sudden pressure to operate and report as public companies even though their internal resources are often not quite sufficient to the task. For many of our micro cap clients, we play a critical role in helping them transition to their new status as a public company. Sometimes it’s as simple as implementing a basic set of corporate guidelines and good-housekeeping procedures in order to stay on the right side of fiduciary duty as well as applicable federal and state regulation and law; sometimes it entails a much longer term corporate restructuring.
We partner with our clients to achieve client goals. We close deals. We solve problems. Our micro cap clients need to spend more time running their business and less time stressing over SEC regulations or engaging in spats with an IRS auditor. Our responsibility is to alleviate the legal burden off the shoulders of a busy CFO or CEO. The client should worry about the more important task of making money for investors not the administrivia of keeping the plates spinning with government.
We specialize in serving the needs of small and midsize companies. We are well attuned to how to manage large legal risks subject to the constraints of a limited budget. We bring the savvy and expertise of big firm lawyers without the ridiculous big firm hourly rates.
